Welcome to AIC-AI ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the AIC-AI website located at https://www.aic-ai.net (the "Site") and all AI-powered sales automation services we provide, including but not limited to the Database Reactivation Bot, Speed to Lead AI Bot, Out of Hours AI Bot, and Google Reviews AI Bot (collectively, the "Services").
By accessing the Site, booking a strategy call, entering into a service agreement, or otherwise engaging with AIC-AI, you ("Client" or "you") agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Site or Services.
These Terms constitute a legally binding agreement. If you are accepting on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
AIC-AI provides artificial intelligence-driven sales automation services designed to help businesses reactivate dormant lead databases, improve speed-to-lead response times, capture out-of-hours enquiries, and manage online reputation. Our core service offerings include:
An AI-powered system that initiates outbound SMS or messaging conversations with leads already existing within a Client's database, with the goal of re-engaging dormant contacts and generating booked calls or sales opportunities.
An automated system that contacts new inbound leads within 60 seconds of enquiry, 24 hours a day, 7 days a week, on behalf of the Client.
An AI-powered assistant that qualifies and books leads outside of standard business hours, including evenings and weekends, ensuring no lead is lost to non-response.
An automated system that monitors and responds to Google reviews in the Client's brand voice, protecting and enhancing online reputation.
Complimentary discovery and strategy calls to assess revenue opportunities within a Client's lead database and recommend appropriate services.
AIC-AI reserves the right to modify, expand, or discontinue any Service at any time with reasonable notice to active Clients.
You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use our Services. By using our Services, you represent and warrant that you meet these requirements. Our Services are intended for business use. You must be a legitimate, registered business entity or sole trader operating lawfully in your jurisdiction.
This section is critical. AIC-AI processes your contact database on your behalf. You are solely responsible for ensuring all contacts have legally consented to receive outreach.
You represent and warrant that you are the lawful owner of, or have appropriate rights to use, any lead database, contact list, or customer data ("Client Data") you provide to AIC-AI. You are solely responsible for the accuracy, legality, and completeness of all Client Data.
You are solely responsible for ensuring that all contacts within your database have provided the necessary consents and opt-ins required under applicable law for receiving automated SMS messages and marketing communications, including but not limited to:
The Telephone Consumer Protection Act (TCPA) — United States
The General Data Protection Regulation (GDPR) — European Union / United Kingdom
The UK Data Protection Act 2018
The CAN-SPAM Act — United States
Any other applicable data protection, privacy, or telecommunications legislation in the relevant jurisdiction
AIC-AI does not verify or audit the consent status of contacts within your database. By submitting a contact list or database to AIC-AI, you confirm that all contacts are eligible to receive outreach under applicable law.
You must not provide AIC-AI with any contact data relating to individuals who have:
Opted out or unsubscribed from your marketing communications;
Submitted a "Do Not Contact" request;
Made a data deletion or erasure request under applicable data protection law;
Been identified as vulnerable individuals or minors.
You agree to indemnify and hold harmless AIC-AI from any claims, penalties, fines, or damages arising from your failure to comply with applicable data protection and communications laws in connection with your Client Data.
You agree to use the Site and Services only for lawful purposes. You must not use the Services to:
Send unsolicited communications (spam) to individuals who have not consented to contact;
Engage in any form of harassment, abuse, or threatening behaviour;
Promote or facilitate illegal products, services, or activities;
Misrepresent your identity, business, or the nature of your products or services;
Violate any applicable laws or regulations, including consumer protection, anti-spam, and data privacy laws;
Reverse-engineer, decompile, or attempt to extract source code from any AIC-AI technology or AI systems;
Use the Services to compete directly with AIC-AI or resell AIC-AI's Services without a written reseller agreement;
Attempt to gain unauthorised access to AIC-AI's systems, servers, or networks.
AIC-AI reserves the right to suspend or terminate access to the Services immediately and without notice for any violation of this Acceptable Use Policy.
Fees for AIC-AI's Services are agreed upon between AIC-AI and the Client prior to commencement of services, as set out in the applicable service agreement, proposal, or order form.
Unless otherwise agreed in writing, payment is due as specified in your service agreement. AIC-AI reserves the right to suspend Services in the event of non-payment.
Given the nature of AI automation services and the resources deployed upon campaign launch, all fees paid to AIC-AI are non-refundable unless otherwise expressly agreed in writing. Revenue outcomes are not guaranteed, and fees are not contingent on results.
You are responsible for all applicable taxes, duties, or levies arising from your use of the Services, unless AIC-AI is legally required to collect such taxes from you.
AIC-AI does not guarantee specific revenue, conversion, or reply-rate outcomes. All figures and testimonials on the Site are illustrative of past results only.
AIC-AI makes no representations, warranties, or guarantees regarding specific revenue outcomes, conversion rates, reply rates, or the number of leads reactivated. Case studies, testimonials, and statistical claims displayed on the Site represent past results for specific clients under specific conditions and are not indicative of future performance. Results will vary depending on the quality of your database, industry, offer, market conditions, and other factors outside AIC-AI's control.
AIC-AI will use commercially reasonable efforts to deliver the Services as described, but does not guarantee any specific financial return on investment.
All content, technology, software, AI models, workflows, automation scripts, branding, copy, graphics, and other materials on the Site or forming part of the Services are the exclusive intellectual property of AIC-AI or its licensors. Nothing in these Terms transfers any ownership of AIC-AI's intellectual property to you.
You retain all ownership of your Client Data and any brand assets (logos, brand voice guidelines, messaging templates) that you provide to AIC-AI for use in the Services. By providing such materials, you grant AIC-AI a limited, non-exclusive, royalty-free licence to use them solely for the purpose of delivering the Services to you.
Any feedback, suggestions, or ideas you provide to AIC-AI regarding the Services may be used by AIC-AI without obligation or compensation to you.
Each party agrees to keep the other party's confidential information strictly confidential and not to disclose it to third parties without prior written consent, except as required by law. "Confidential Information" includes, but is not limited to, business strategies, pricing, Client Data, campaign performance data, and proprietary AI methodologies.
AIC-AI's Services may integrate with or rely upon third-party platforms and tools, including SMS messaging providers, CRM systems, Google Business Profile, and other technology providers. AIC-AI is not responsible for the performance, downtime, policies, or terms of any third-party services. Your use of third-party integrations is subject to those providers' own terms of service and privacy policies.
AIC-AI's total liability is capped at fees paid in the 3 months prior to any claim. Consequential and indirect losses are excluded.
11.1 To the maximum extent permitted by applicable law, AIC-AI's total aggregate liability to you arising out of or in connection with these Terms or the Services shall not exceed the total fees paid by you to AIC-AI in the three (3) months immediately preceding the event giving rise to the claim.
11.2 AIC-AI shall not be liable for any:
Loss of profits, revenue, or anticipated savings;
Loss of data or database integrity;
Indirect, incidental, special, consequential, or punitive damages;
Regulatory fines or penalties arising from your non-compliance with applicable laws;
Damage to business reputation resulting from automated communications sent on your behalf.
11.3 Nothing in these Terms limits liability for fraud, wilful misconduct, death, or personal injury caused by negligence, where such limitation is prohibited by law.
You agree to defend, indemnify, and hold harmless AIC-AI and its directors, employees, contractors, and agents from and against any claims, damages, losses, fines, penalties, and expenses (including reasonable legal fees) arising out of or related to:
Your breach of these Terms;
Your violation of any applicable law or regulation;
Your Client Data, including any claims by third parties regarding the use of their personal data;
Any false or misleading representations made by you or your AI-generated communications to end recipients;
Your use of the Services in a manner not authorised by these Terms.
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AIC-AI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AIC-AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
14.1 Either party may terminate a service arrangement in accordance with the terms of the applicable service agreement.
14.2 AIC-AI may immediately suspend or terminate your access to the Services without notice if you breach these Terms, fail to make payment, or engage in conduct that may expose AIC-AI to legal liability.
14.3 Upon termination, AIC-AI will return or securely delete your Client Data in accordance with our Privacy Policy and applicable data protection law. Provisions of these Terms that by their nature should survive termination (including Sections 8, 9, 11, 12, and 17) shall survive.
AIC-AI processes personal data in connection with the Services in accordance with our Privacy Policy, available at https://www.aic-ai.net/privacy-policy. By using the Services, you acknowledge that you have read and understood our Privacy Policy.
Where AIC-AI processes personal data on your behalf (e.g., processing your leads' contact information), AIC-AI acts as a data processor and you act as the data controller. AIC-AI will only process such data in accordance with your documented instructions and applicable data protection law. A Data Processing Agreement (DPA) may be executed upon request.
AIC-AI reserves the right to update or modify these Terms at any time. We will notify active Clients of material changes by email or by posting an updated version on the Site with a revised "Last Updated" date. Continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
In the event of any dispute arising out of or in connection with these Terms or the Services, the parties agree to first attempt to resolve the matter amicably through good-faith negotiation within 30 days of written notice of the dispute. If the dispute cannot be resolved through negotiation, it shall be referred to the courts of England and Wales, whose jurisdiction both parties irrevocably accept.
These Terms, together with any applicable service agreement, order form, and our Privacy Policy, constitute the entire agreement between you and AIC-AI regarding the Services and supersede all prior negotiations, representations, or agreements.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Failure by AIC-AI to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
You may not assign your rights or obligations under these Terms without AIC-AI's prior written consent. AIC-AI may assign its rights and obligations at any time.
AIC-AI shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, internet or telecommunications failures, government actions, or third-party platform outages.
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and AIC-AI.
